Ethical Rules

Ethical codes are determined by the Board of Directors for the company and its employees and these are notified to the employees and announced publicly in the internet site of the company within the frame of information policy. Accordingly common values of the company are as follows:

a) Social sensitivity: Our company is sensitive towards its social liabilities and conforms to ethical rules with arrangements made regarding environment, consumer and public health.

b) Reliability and honesty: In relationships with employees and shareholders, honesty is our priority and reliability and honesty is on the foreground in all relationships and business processes.

c) Business ethics: Information to be publicly disclosed shall not be announced to specific investors or related parties before the announcement. Organizations like independent audit companies, persons or organizations rendering consultancy services, rating organizations, syndicates which may have access to confidential information of the company due to their activities are exceptions under this rule. In this case people who access information shall keep these confidential according to trade secret principle and ethical rules.

d) Attention and priority given to shareholders: Members of the Board of Directors do not accept pressure that may result negatively against shareholders and do not accept material benefits; Corporate Governance Committee has made arrangements to ensure that employees do not accept pressures that may have negative consequences for the shareholders and do not accept material benefit.

e) To have a team spirit and collaboration approach: Common values are created with team spirit and collaboration approach free from discrimination.

f) Dynamism: In order to adapt to the dynamics of active and competitive business live, fast decision making processes should be adapted and decisions taken should be applicable.

g) Self-confidence: Objective is to create a common synergy together with the members of the Board of Directors and employees that have the skills to access information, that works efficiently and productively, that can question things and think independently; that are sensitive towards people and respectful towards ethical values and who has principles and self-confidence.

h) Being objective: In order to strengthen the trust of our customers and shareholders, we act objectively and pre-determine conditions that may impact our objectivity and take necessary precautions in this regard.

i) Independency: -Independent audit organizations and independency of the employees in these organizations is essential. The principle of independency means carrying out independent audit activities in a way that shall not be impacted by any relation, interest or impact that may damage the occupation recognition and inequality of the independent auditor. -Board of Directors is formed with highest level of efficiency and away from all kinds of conflict of interests and impacts, and in a way that it can fulfill decision making, execution and representation duties independently. Skills, competencies and experience levels of the members of the Board of Directors determines the performance level and success of the Board of Directors and directly impacts the success of the company in achieving its targets.

j) Compatibility: It is ensured that the company and the employees, employees and their co-workers, company and the customers and suppliers are in full harmony. Required measures are taken to ensure harmony is achieved.

k) Being extroverted: In order to build good relationships with shareholders, stakeholders and suppliers, extroverted communication skills are encouraged. l) Consistency: Non-registered activities are prohibited; the accuracy and consistency of business records are essential. In relationships with customers, suppliers and other people, and organizations that the company has business relationships with the principles of honesty, trust, consistency, professionalism, independency, long term relationships and mutual benefits are ensured.
